1. Acceptance of Terms
These Terms of Service ("Terms") govern access to and use of the Ossy.report platform and related services (the "Service") provided by Ossy ("we," "us"). By creating an account, purchasing Portraits, or otherwise using the Service, you ("Customer," "you") accept these Terms in full. If you do not agree, do not use the Service.
2. Definitions
- "Portrait" — a compiled report on an individual ("Data Subject"), assembled from Public Data, offered for purchase through the Service.
- "Public Data" — information Ossy determines to be publicly available at the time of collection, sourced from social media, video/audio platforms, developer/community platforms, public forums, and licensed third-party data providers.
- "Customer Data" — information Customer submits to the Service (account information, search queries, uploaded lists).
3. The Service
Ossy provides B2B sales/buyer-intelligence Portraits compiled from Public Data, intended to help Customer personalize outreach to business prospects. Portraits are sold on a pay-per-Portrait basis under the pricing and volume tiers in effect at the time of purchase. Ossy may modify pricing prospectively upon notice; prices are not changed retroactively for completed purchases.
4. Account Registration
Customer must provide accurate registration information and is responsible for maintaining the confidentiality of login credentials and for all activity under its account. Customer must promptly notify Ossy of any unauthorized use.
5. Fees and Payment
Fees are as stated at checkout/order confirmation. Purchases are non-refundable except as required by law. Ossy may suspend access for non-payment after reasonable notice.
6. Permitted Use
Customer may use Portraits solely for legitimate B2B sales, marketing, and buyer-intelligence purposes in the ordinary course of its business, and solely for its own internal use — not for resale or redistribution as a standalone data product, unless separately licensed in writing.
7. Prohibited Uses
Customer shall not, and shall not permit any user or third party to, use the Service or any Portrait to:
- Make decisions regarding an individual's employment, hiring, promotion, or termination;
- Make decisions regarding an individual's eligibility for credit, insurance, or any financial product or service;
- Make decisions regarding tenant screening, housing, or background checks;
- Use the Service for any purpose covered by the U.S. Fair Credit Reporting Act ("FCRA"), or take any action that would cause a Portrait to constitute a "consumer report" under the FCRA;
- Stalk, harass, intimidate, or threaten any individual, or engage in unlawful surveillance;
- Make any automated decision producing legal or similarly significant effects on a Data Subject without meaningful human review;
- Train, fine-tune, or otherwise develop any machine learning or AI model using Portrait Data, without Ossy's prior written consent;
- Violate any applicable law, including data protection, anti-discrimination, and privacy laws.
Ossy is not a "consumer reporting agency" under the FCRA, and Portraits are not "consumer reports." Customer represents and warrants that it will not use the Service in a manner inconsistent with this Section 7.
8. Customer Compliance Obligations (Outbound Communications)
Where Customer uses Portrait insights to conduct outreach (email, LinkedIn, phone, or otherwise), Customer is solely responsible for ensuring such outreach complies with all applicable laws, including CAN-SPAM, GDPR/ePrivacy, TCPA, and equivalent local marketing laws, including obtaining any required consent and honoring opt-out requests. Ossy provides Portrait data only and does not conduct outreach on Customer's behalf.
9. Data Sourcing and Accuracy Disclaimer
Portraits are compiled from Public Data believed accurate at the time of collection. Ossy makes no representation or warranty regarding the accuracy, completeness, timeliness, or reliability of any Portrait. Customer is solely responsible for independently verifying any information before relying on it for a business decision.
10. Intellectual Property
Ossy retains all right, title, and interest in the Service and its underlying technology. Customer retains rights in Customer Data. Ossy grants Customer a limited, non-exclusive, non-transferable license to use Portraits for the Permitted Use during the applicable term.
11. Confidentiality
Each party will protect the other's confidential information using reasonable care and will not disclose it except as necessary to perform under these Terms or as required by law.
12. Data Protection
Ossy processes personal data as described in our Privacy Policy. A Data Processing Addendum is available on request for Customers who require one for their own compliance purposes.
13. Warranty Disclaimer
THE SERVICE AND ALL PORTRAITS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. OSSY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OSSY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) $500. IN NO EVENT WILL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.
15. Indemnification
Customer will indemnify, defend, and hold harmless Ossy from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) Customer's breach of Section 7 (Prohibited Uses) or Section 8 (Compliance Obligations); (b) Customer's unauthorized collection, use, or processing of Personal Data obtained through the Service; or (c) Customer's violation of applicable law in its use of the Service.
16. Term and Termination
These Terms remain in effect while Customer maintains an account or has an active order. Either party may terminate for the other's uncured material breach after reasonable written notice. Sections 7, 9, 13, 14, 15, and 17 survive termination.
17. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any dispute arising out of these Terms will be resolved in the state and federal courts located in Delaware, and each party consents to jurisdiction there.
18. Modifications
Ossy may modify these Terms upon reasonable notice (e.g., email or in-Service notice). Continued use after changes take effect constitutes acceptance.
19. General Provisions
- Entire Agreement — these Terms and our Privacy Policy constitute the entire agreement between the parties regarding the Service.
- Assignment — Customer may not assign these Terms without Ossy's prior written consent.
- Severability — if any provision is held unenforceable, the remainder remains in effect.
- No Waiver — failure to enforce any provision is not a waiver of the right to do so later.
